These Terms of Service (the "Terms") govern your access to and use of the ZYX Events website and any services, quotes, or orders provided by ZYX Events ("ZYX Events", "we", "us", or "our"). By accessing this site or placing an order, you agree to these Terms. If you do not agree, do not use the site or our services.
1. Who we are
ZYX Events is an independent reseller operating on the secondary market for event tickets and collectibles. We are not a box office or a primary seller. We are not affiliated with, endorsed by, or connected to any venue, box office, team, league, artist, promoter, festival, primary ticketing platform, or trading card manufacturer. Names and marks that appear are used for identification only and remain the property of their owners.
2. Eligibility
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use our services. You are responsible for ensuring that your use, and any purchase or resale, is lawful where you live. You agree to provide accurate information and to keep it current.
3. No offer where prohibited
Nothing on this site is an offer or solicitation in any jurisdiction where that would be unlawful, or to any person to whom it would be unlawful to make such an offer. Content is provided for general information only.
4. Secondary market pricing
Outside of any legal limit that applies, prices on the secondary market are set by supply and demand and may be higher or lower than the face value printed on a ticket or any manufacturer or guide price for a collectible. Any prices, availability, statistics, or figures shown on the site are illustrative, may be out of date, and do not constitute a binding offer. A price is only binding once we confirm it to you in writing for a specific order and you complete payment.
Where a law limits the price at which a ticket may be resold, including for events held in Ontario, we will not offer or sell that ticket for more than the law allows, and the limit in that law applies in place of anything in this section.
5. Events in Ontario
For tickets to events held in Ontario, we follow the Ticket Sales Act, 2017 and its regulations as amended. In particular:
- we will not make a ticket available for more than the total price paid when it was purchased from the primary seller, plus any fees, service charges, and taxes the law allows us to add;
- before you pay, we will disclose the total price and a separately itemized list of any fees, service charges, and taxes, along with any other information the law requires us to show you;
- we give you a written guarantee of a full refund if the event is cancelled before the ticket can be used, if the ticket does not grant you admission to the event for which it was issued (unless this is caused by an action of the primary seller or venue after the sale), if the ticket is counterfeit, or if the ticket does not match its description as advertised or represented to you.
If any other part of these Terms conflicts with the Ticket Sales Act, 2017 or with this section, this section and the Act prevail for tickets to events held in Ontario.
6. Quotes, orders, and acceptance
A quote is an invitation to proceed, not a contract. We may decline, limit, or cancel any order for any lawful reason, including suspected fraud, pricing or listing errors, payment problems, or inability to source the item. Where an order is cancelled by us before fulfillment, your sole remedy is a refund of amounts you paid for that order. We are not liable for typographical, pricing, or descriptive errors and may correct them at any time.
We may refuse service to anyone, and may cancel an order that was confirmed in error, including where a price or description was wrong or where completing the sale would breach a law or a platform rule. If we cancel for one of these reasons, we refund what you paid for that order.
7. Verification and fraud prevention
To protect you and us, we may ask you to verify your identity, payment method, billing address, or authority to use a payment method before we confirm or fulfill an order. We may delay, hold, or cancel any order we reasonably believe is fraudulent, unauthorized, placed in breach of these Terms, or placed to resell in breach of the law. We are not liable for any delay or cancellation made in good faith for these reasons.
8. Payment, fees, and taxes
You agree to pay the confirmed price plus any stated fees. You are responsible for all applicable taxes, duties, currency conversion costs, and payment or transfer charges. You agree not to initiate a chargeback or payment dispute without first contacting us to resolve the issue, and you agree that initiating a chargeback for a properly fulfilled order is a breach of these Terms.
If you initiate a chargeback or payment dispute for an order that we fulfilled, we may provide the payment provider with records of your order, communications, and delivery, cancel any related undelivered tickets or items, and recover the disputed amount, fees charged to us, and reasonable collection costs, to the extent permitted by law.
9. Delivery and risk
We deliver tickets and items by the method identified for your order. Delivery timing estimates are not guarantees. Risk of loss for a physical item passes to you on delivery to the carrier or to you, whichever is stated. You are responsible for providing accurate delivery and account details, and for accepting transfers in the account you provide.
Some tickets are delivered by mobile transfer, may only be released close to the event, or may require the name or identification of the attendee to match the ticket. You agree to follow the delivery and entry instructions we give you, to accept transfers promptly, and to comply with the rules of the venue, promoter, and primary ticketing platform. We are not responsible for a failure to gain entry caused by your own conduct, an unaccepted transfer, a mismatched name or identification that you provided, or venue policy.
10. Event changes, postponement, and cancellation
We do not control events and are not responsible for a venue, promoter, team, or performer changing, postponing, relocating, or cancelling an event, or for restrictions on entry. For a postponed or rescheduled event, tickets normally remain valid for the new date and no refund is due, unless the law requires otherwise.
Where the law requires a refund for a cancelled event, including under the Ticket Sales Act, 2017 for events held in Ontario, you will receive the refund the law requires. In all other cases, any refund for a cancelled event with no rescheduled date is limited to what we actually recover from our own supplier for that specific order, and we are not obligated to refund fees, delivery costs, or any amount we cannot recover. We are never liable for travel, accommodation, or other costs you incur around an event.
11. Collectibles
Grades and grading opinions are those of the applicable third party grading company and are not a representation or guarantee by us. Condition descriptions and images are provided in good faith and describe the item at the time of listing. Sealed and vintage product is sold as described and as is. Collectibles are sold as goods, not as investments. Nothing we provide is investment, tax, or financial advice, and we make no representation about future value, resale price, or appreciation. Unless we state otherwise in writing for a specific order, all collectible sales are final.
Please inspect any collectible as soon as it arrives. Any claim that an item is damaged in transit, is not the item ordered, or does not match its description must be sent to us within 48 hours of delivery, with clear photos of the packaging and item, and where possible an unedited video of the package being opened. Sealed product that has been opened, and graded items removed from their holder, cannot be returned. Disputes about a grade itself must be taken up with the grading company.
Shipments may be sent with tracking and, where we choose, insurance and signature on delivery. Once a carrier confirms delivery to the address you provided, risk of loss passes to you.
12. Returns and refunds
Because of the time sensitive and market based nature of tickets and collectibles, all sales are final and non refundable, except where we expressly agree in writing, where our delivery guarantee applies to a specific order, or where a refund is required by applicable law, including the guarantee in the section on events in Ontario. Unless the law requires otherwise, any delivery guarantee is limited to providing comparable inventory or a refund of the amount paid for the affected order, at our option.
13. Selling and consignment
If you ask us to list, price, or sell tickets or collectibles on your behalf, these additional terms apply, together with any written consignment terms we agree with you:
- you confirm that you own the item or are authorized to sell it, that it is authentic and as described, and that selling it does not breach any law, venue rule, or platform rule;
- for tickets to events held in Ontario, you confirm the total price you originally paid, provide proof when asked, and agree that we will not list the ticket above the amount the law allows;
- we may decline, delist, reprice within the terms you agreed, or stop selling any item at any time, including across marketplaces reached through Automatiq;
- payouts are made only after the buyer has received the item and any hold, dispute, or event date set out in your consignment terms has passed, less our agreed fees and any marketplace or payment charges;
- if a sale is reversed, charged back, or refunded because an item was not authentic, not as described, not delivered, or not valid for entry, you must repay any amount we paid to you and reimburse the costs we incur, and we may deduct these amounts from future payouts.
14. Acceptable use
You agree not to:
- use the site or services for any unlawful, fraudulent, or deceptive purpose;
- scrape, harvest, copy, or systematically collect content, or use bots or automated means against the site;
- interfere with, probe, or attempt to breach the security of the site or its infrastructure;
- resell, reproduce, or exploit our content or services except as expressly permitted;
- impersonate any person or misrepresent your affiliation with anyone.
- use any automated software, bot, or other means to buy tickets, or to get around purchase limits or security measures, on our site or any primary or secondary ticketing platform, as prohibited by law.
15. Intellectual property
The site and its contents, including text, layout, graphics, and marks, are owned or licensed by ZYX Events and are protected by law. We grant you a limited, revocable, non exclusive license to view the site for your personal, non commercial use. No other right or license is granted.
16. Third party links and platforms
The site and our services may reference or rely on third party platforms and marketplaces. We do not control and are not responsible for third party sites, services, or content, and your use of them is at your own risk and subject to their terms.
17. Disclaimer of warranties
The site, its contents, and our services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted, error free, or secure, or that any information is complete or accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
18. Limitation of liability
To the fullest extent permitted by law, ZYX Events and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunity, or loss of data, arising out of or related to the site or our services, even if advised of the possibility. Our total aggregate liability for any claim arising out of or related to a transaction will not exceed the amount you actually paid to us for that transaction. Where liability cannot be excluded or limited under applicable law, our liability is limited to the minimum extent permitted by that law.
19. Indemnification
You agree to defend, indemnify, and hold harmless ZYX Events and its owners, officers, employees, and agents from any claim, loss, liability, cost, or expense, including reasonable legal fees, arising out of your use of the site or services, your breach of these Terms, or your violation of any law or the rights of a third party.
If you sell or consign with us, this indemnity also covers any claim arising from the ownership, authenticity, description, validity, or legality of the tickets or items you supply.
20. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, labor disputes, outages, supplier failures, government action, or event cancellations.
21. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law rules. Subject to any non waivable rights you have under applicable consumer protection law, the courts located in Ontario have exclusive jurisdiction over any dispute, and you consent to that jurisdiction and venue. Where permitted by law, you and ZYX Events agree to resolve disputes individually and waive any right to a class or representative proceeding. Any claim must be brought within one year after it arises, to the extent permitted by law.
22. Changes to these Terms
We may update these Terms at any time by posting a revised version. Changes take effect when posted. Your continued use after changes are posted means you accept them. We encourage you to review this page periodically.
23. General
If any provision is found unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them freely. These Terms, together with our Privacy Policy and Reseller Disclaimer, are the entire agreement between you and us regarding the site and services.
Sections that by their nature should survive the end of your use of the site or any order, including those on pricing limits, refunds, limitation of liability, indemnification, and governing law, will survive. You agree that we may communicate with you electronically, and that agreements, confirmations, and notices we send electronically satisfy any requirement that they be in writing, to the extent permitted by law.
