These Consignment Terms apply when you ask ZYX Events to list, price, market, or sell tickets or collectibles on your behalf. In these terms, "you" means the consignor, and "consigned items" means the tickets or collectibles you supply.

These terms form part of, and should be read together with, our Terms of Service and Privacy Policy, and any written consignment agreement we sign with you. If there is any conflict, the signed consignment agreement applies first, then these terms, then our Terms of Service.

1. Eligibility

To consign with us, you must be at least 18 years old and legally able to enter into a contract. If you consign on behalf of a business, you confirm that you are authorized to bind that business. We may ask you to verify your identity, address, and payment details before we accept any consigned items, and we may decline to work with anyone at our discretion.

2. How consignment works

You tell us what you have and provide the details and proof we ask for. We review the items and, if we accept them, agree with you in writing a price, a pricing range, or a minimum price, together with our fees and the consignment period.

We then list the items for sale. Ticket inventory is distributed to marketplaces through Automatiq. Collectibles may be sold directly by us or listed on third party marketplaces. You remain the owner of the consigned items until they are sold to a buyer, and we act as your agent for the purpose of selling them.

3. What you confirm

For every consigned item, you confirm and guarantee that:

  • you are the lawful owner of the item, or are authorized in writing by the owner to sell it;
  • the item is authentic, valid, and exactly as you described it, including any grade, certification number, seat location, or condition;
  • the item is free of any lien, claim, or security interest, and is not stolen, lost, or subject to any dispute;
  • for tickets, they were obtained lawfully, have not been and will not be sold or transferred to anyone else, and have not been cancelled or reported lost;
  • for tickets, you have not used any bot or other automated means to buy them in breach of the law or the primary seller's rules;
  • selling the item does not break any law, venue rule, team or league rule, or platform rule that applies to you or the item; and
  • all information you give us is complete, accurate, and not misleading.

These confirmations continue after the item is sold.

4. Tickets for events in Ontario

For tickets to events held in Ontario, you must tell us the total price you originally paid to the primary seller, including fees and taxes, and provide proof, such as the original order confirmation, when we ask. We will not list or sell a ticket above the amount the Ticket Sales Act, 2017 allows. If you do not provide proof of the original price when asked, we may decline or delist the ticket.

You agree that the full refund guarantee we give buyers for Ontario events applies to tickets you consign, and that the section on reversed sales applies if a refund is required.

5. Collectibles

For collectibles, you must provide accurate descriptions and clear photos, and where requested, send the item to us for inspection before listing. We may decline items that we cannot verify, that we believe may be altered or counterfeit, or whose grading holder is damaged. We may photograph consigned items and use those photos in listings.

6. Pricing

We price consigned items against the live market, within the price, range, or minimum you have agreed with us in writing. You authorize us to adjust the listed price within those limits, including by using automated repricing tools, without asking you each time.

We do not guarantee that any item will sell, how long it will take, or the price it will sell for. Market prices can move quickly, and we are not responsible for any difference between the price achieved and any price you expected.

7. Fees and charges

Our consignment fee, and any marketplace, payment processing, shipping, insurance, grading, or other charges that will be deducted from a sale, are set out in writing before we list your items. We will not increase the fee on an item that is already listed without your agreement.

If you withdraw an item after we have listed it, other than for a reason that is our fault, we may charge the withdrawal fee set out in your agreement and any costs we have already incurred.

8. Payouts

We pay you the sale price less the agreed fees and charges once all of the following have happened:

  • the buyer has received the item;
  • for tickets, the event has taken place, or any later payout date agreed with you has passed;
  • any hold, dispute, or return window set out in your agreement or by the marketplace has passed; and
  • we have received the sale proceeds from the marketplace or buyer.

Payouts are made by the method and within the time agreed with you once the conditions above are met. We will give you a statement showing the sale price, each deduction, and the amount paid. We may hold a payout while we investigate a dispute, a suspected breach of these terms, or a request from a payment provider or authority.

9. Reversed sales and your repayment obligations

If a sale is reversed, charged back, cancelled, or refunded because an item was not authentic, not as described, not delivered because of you, not valid for entry, or subject to a claim by someone else, or because you breached these terms, you must:

  • repay any amount we paid you for that sale;
  • reimburse the costs we incur, including replacement tickets or items we buy to honour the buyer's order, marketplace penalties, chargeback fees, and reasonable legal and collection costs; and
  • cooperate with us in resolving the buyer's claim.

We may deduct these amounts from any future payouts owed to you. If the amounts are not covered by future payouts, you must pay them within 14 days of our written request.

10. Delivery and transfers

For tickets, you must transfer, release, or deliver them to the buyer or to us promptly when a sale is made, and in any case within the time the marketplace requires. You must not transfer, use, or sell a consigned ticket elsewhere while it is listed with us.

For collectibles held by you, you must ship them to the buyer or to us, packed securely and with tracking, within 2 business days of a sale unless we agree otherwise.

11. Custody and insurance

Where we hold consigned collectibles, we store them with reasonable care in a secure location. Unless we agree otherwise in writing, we are not responsible for loss or damage caused by events outside our reasonable control, and our responsibility for any loss or damage while an item is in our custody is limited to the lower of the agreed minimum price and the item's documented fair market value.

You should keep your own insurance on valuable items. We may ask you to confirm that consigned items are insured.

12. Delisting and withdrawal

We may decline, delist, or stop selling any item at any time, including where we have concerns about authenticity, ownership, legality, or pricing, or where a marketplace or platform requires it.

You may ask us to delist an unsold item at any time. We will do so as soon as reasonably possible, usually within one business day. An item that sells before the delisting takes effect cannot be withdrawn, and you must complete that sale.

13. Consignment period and unsold items

Items are consigned for the period set out in your agreement. For tickets, the consignment ends when the event takes place. If a collectible has not sold by the end of the consignment period, we will contact you to agree whether to extend the period, adjust the price, or return the item.

If you do not collect or arrange the return of an unsold collectible within 60 days of our written notice, we may charge a reasonable storage fee and, to the extent the law allows, take other steps set out in your agreement.

14. Taxes and reporting

You are responsible for any income, sales, or other tax that applies to your own sales and income. We may be required by law to collect information from you, such as your legal name, address, and tax identification number, and to report consignment payouts to tax authorities. If you do not provide information we are required to collect, we may withhold payouts until you do.

15. Indemnity

You agree to indemnify and hold harmless ZYX Events, its owners, employees, and agents from any claim, loss, liability, cost, or expense, including reasonable legal fees, arising from any consigned item you supply, any breach of these terms, or any inaccurate information you give us.

16. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim relating to consignment is limited to the fees we earned on the item concerned, except for amounts we owe you as payouts and any liability that cannot be limited by law. We are not liable for lost profits, lost opportunities, or changes in market value.

17. Ending consignment

Either of us may end a consignment arrangement by written notice. Unsold items will be delisted and, for collectibles, returned or made available for collection. Payouts already due will still be paid, less any amounts you owe us. Sections on your confirmations, reversed sales, taxes, indemnity, and limitation of liability continue after the arrangement ends.
